Merchant Terms & Conditions

1. Merchant of Record & Product Responsibility

By registering as a Partner Merchant on Noda, you confirm that you are the Merchant of Record for all food, grocery, beverage, and retail items listed on your catalog. You are solely responsible for compliance with local food hygiene laws, allergens labeling, product safety standards, and local sales taxes/VAT.

2. Economic Model & Fee Deductions

Noda operates on a transparent, pro-merchant financial split:

• Retained Food Revenue: You keep 100% of your listed dish and product prices, minus the deductions below.
• Hunter Affiliate Royalty (1%): A 1.00% gross merchandise value fee is deducted from your payout and credited to the certified Hunter who onboarded and supports your store. Under tax regulations, this fee is classified as a tax-deductible commercial referral expense.
• Payment Gateway Fee: The nominal transaction processing fee charged by our regulated payment partners (e.g. Stripe, Yellow Card) is absorbed by the merchant.

3. Fulfillment Mode Selection

Through your Merchant Terminal settings, you maintain complete autonomy over how orders are delivered:

• Own Courier Fleet: You dispatch your own in-house drivers or employees. In this mode, you retain 100% of the delivery fee paid by the customer.
• On-Demand 3PL Logistics: Noda automatically dispatches local third-party couriers (e.g., Stuart, Kwik, Borzo) at cost. The delivery fee is passed through directly to the logistics partner.

4. Payouts & Settlement

Net earnings are automatically calculated and disbursed to your registered local bank account or mobile money wallet via regulated payment rails. Settlement occurs on a standard automated schedule following customer Delivery OTP confirmation.
