1. Platform Nature: Information Society Service Intermediary

noda technologies ltd provides an online software communication and order-routing platform connecting consumers, independent partner merchants, and third-party logistics carriers. Noda is not a restaurant, food preparer, grocery merchant, carrier, or transportation provider.

2. Contract of Sale

When a customer places an order via the Noda WhatsApp interface, the legal contract for the purchase and sale of goods is formed strictly and directly between the Customer and the Partner Merchant. The merchant is the Merchant of Record for their culinary and retail goods. Noda is not a party to the contract of sale.

3. Platform Fees & Pricing Transparency

Noda operates with zero hidden markups:

• Goods Subtotal: Set directly by the merchant and paid to the merchant.
• Delivery Fee: Paid by the customer and passed through 100% at cost to the delivery carrier (or to the merchant if using their own fleet).
• Noda Platform Service Fee (2%): A transparent customer-facing software service fee paid to Noda for maintaining the digital ordering rails.

4. Fulfillment & Handshake Verification

All orders utilize a cryptographic 4-digit Delivery Verification OTP. Couriers cannot finalize an order without receiving the verbal OTP code at the doorstep. Once confirmed, payment is released from regulated escrow.

5. Limitation of Liability & Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Noda’s maximum aggregate liability arising out of software platform access shall not exceed the total platform fees collected on the applicable order.
